Incorp-Academy is an online learning center for business owners. Incorp-Academy is where all owners of small and medium sized businesses should go if they have incorporated or formed a member-managed LLC. It's the place where you get to have your own personal online automated secretary to help you prepare your company documents and keep you reminded of your upcoming corporate or LLC formalities. Incorp-Academy is where you learn to be an effective business owner, and you get to have fun doing it.

Our Online Corporate Tutor (CT) and our Fundamentals Workshop are designed to address all the fundamental activities and functions most small business owners need. Simply visit CT by selecting the Online Tutor link in the Lobby, or enter the Online Workshop through the Lobby to find the assistance you need.

One of the major reasons business owners neglect keeping up with their entities' formalities is "lack of time." Our program was designed to require as little time as possible; just what you need to get the job done. You can document resolutions in seconds, and you can bring past neglected documentation current. Those things that do require a little extra time can be streamlined so you can manage them quickly yet by the book, which is critical.

If your CPA (attorney, friend...) happens to be your company Secretary and actually attended a real meeting, this is fine. If not, there could be a problem. Your company Secretary was appointed to attend meetings and manage their documentation. Having a third party who did not attend prepare minutes of a meeting that did not occur indicates a deeper problem, which is you do not have mastery over your entity. One meeting per year is not a healthy meeting policy. Corporate protections are reinforced when you show a pattern of accountability to your entity by way of properly held and documented meetings.

As many as you need. And you can provide different levels of access for each user. Some users should only be able to view company activity, but not be able to create or modify important documentation. Other users need to be able to plan and prepare for meetings, which includes providing proper notice of meetings, then preparing the final minutes of those meetings. This is typically the job of the company Secretary. Further, you may even provide access to non-personnel, such as your CPA or attorney. Allow them access to review your documentation before you publish it.

Currently, Incorp-Academy only permits tracking of common voting stock for corporations and standard units or percentage ownership for member-managed Limited Liability Companies. If you have a special need, please contact us. We may be ready to implement those changes immediately.

We accommodate most small to medium C and S corporations and Member-Managed Limited Liability Companies. If you have a Manager- Managed LLC, please let us know. We will be implementing that into our program very soon. If you own a Limited Partnership or other entity that is not currently supported by Incorp-Academy, please tell us. We will keep you posted on when those other entity types will be implemented in the near future.

Incorp-Academy presently can accommodate profit corporations (S and C) and member managed LLC's. Further, only common stock is recognized for corporations. If your entity is not a corporation or LLC, or if your corporation has authorized stock other than common stock, we cannot service your company at this time. If you will send us an email and let us know you were not able to join because of incompatibility, we may be able to make you accommodations or speed up our efforts to be able to service your type of entity. Our goal is to service most business entities, so please communicate your situation to us.

Incorp-Academy is doing all we can to automate our program as much as possible in order to keep our program affordable. Our online tools are very effective and have been designed to be as user-friendly as possible. We encourage you to seek solutions within the Academy. The answers are truly there. That said, call us if you become bewildered. We do not want you to get lost in the Academy.

Absolutely. That is exactly one of the many great features available on our site. Learn how to hold a meeting, how to document without a meeting, the process involved in actually assembling and transacting a meeting, and even having meetings with a single person. But don’t try this if others are looking, or they may report you as a nut case.

Incorp-Academy does not offer attorney referral. In the states where it is available, you may opt to have a participating attorney review any document you have prepared using Incorp-Academy's Online Secretary, but we make no recommendations, and being a participating attorney does not indicate any endorsement on the part of Incorp-Academy. Seek out a legal professional who you feel is best for your situation.

That’s easy. We don’t incorporate. We help business owners who have already incorporated or formed a member managed LLC.

Incorp-Academy does not incorporate or form LLC’s nor does it refer incorporators. But if you do incorporate or form an LLC, you may want to become a member of Incorp-Academy, because helping you run your entity is what we do best.

We believe there are enough incorporators in the market to do the job, but not enough practical resources to help those who have already formed business entities. Further, we wish to maintain an incentive for incorporators to encourage their customers to join Incorp-Academy. Most incorporators want to provide resources to their clients, but no business should have to refer clients to its competitor. So, we’re convinced this is in the best interest of all.

Incorp-Academy is working toward implementation of the attorney review feature in all states. Presently, it is not available in all states. If the service is not yet available in your state, we anticipate that it will be soon. As a member, you will be notified immediately once the feature becomes available.

Our documents have been prepared by attorneys to be flexible enough for use in all states, however we can't guarantee that they will be appropriate for your situation or for your state. All states have different laws, and laws change; and sometimes issues may be overlooked. If you plan to use any document you generate from our website for your business, you should have a legal advisor look at it first to verify that it is appropriate for your purposes.

The enrollment fee is less than you would pay for three hours of a decent attorney’s time. This is a one time enrollment fee, and with it you may manage up to three different companies. That means you pay it one time, and as long as you remain a member in good standing, you never have to pay the enrollment fee again. There is also a nominal monthly maintenance fee for each company you enroll. You’ll never have to worry about buying software upgrades. All standard upgrades will be included at no additional charge. Further, your documents will be archived online and remain accessible to you for as long as your membership continues. If your records book is destroyed or stolen, you can generate past documents created within, or uploaded to, our program and preserve your company’s document history.

The good news is that Incorp-Academy Members are allowed to enroll up to three (3) different companies provided there is at least 20% common ownership between your primary (first registered) company and the other two.
